These Terms and Conditions govern your access to and use of services offered from norcloud.norsonic.com.
NorCloud is owned and operated by Norsonic AS, limited liability company organized under the laws of Norway.
Please read these Terms carefully before using NorCloud.
We reserve the right, at our discretion, to change, modify, add or remove portions of the Terms at any time. You can therefore at any time be prompted to re-confirm your acceptance of these Terms. In no case will a future denial of acceptance of these terms, give the user a right for refund of eventual prepaid credits.
NorCloud, including but not limited to all text, graphics, logos, icons, images, data, graphs, audio, videos, computer programs and other material and information contained on, or utilized in the provision of this website is the property of Norsonic AS. Norsonic AS hereby grants you a limited, nonexclusive, non-transferable, license to use NorCloud.
Except as stated in these Terms, none of the Content on this Site may be copied, reproduced, distributed, republished, downloaded, displayed, posted, framed or transmitted in any form or by any means, without the prior written permission of Norsonic.
Monitoring data, pictures and audio collected and uploaded to NorCloud, reports and other services generated or created on the website is collectively referred to as the Content. The submitting user retains ownership of Content. Notwithstanding the user's ownership, the submitting user grants a royalty-free, perpetual, non-exclusive, world-wide, transferable license to Norsonic AS to use, reproduce, modify, adapt, display such Content (in whole or part) for the benefit of optimizing the services and products of Norsonic AS. Norsonic AS has not, and will not, review, monitor or edit the Content for accuracy, timeliness, integrity or completeness. Norsonic AS shall have the right (but not the obligation) in its sole discretion to delete any Content that it considers to violate the Terms or be otherwise illegal. Norsonic AS, in its sole and absolute discretion, may preserve Content and may also disclose Content if required to do so by law, judicial or governmental mandate or, to protect the rights, property, or personal safety of NorCloud users and the public.
We ask you to follow these rules: (1) Do not upload to, distribute through or otherwise publish through NorCloud any content that is defamatory, obscene, invasive of privacy or publicity rights, abusive or that would otherwise give rise to liability or violate any law. (2) Use NorCloud only in a manner consistent with all laws and regulations and in accordance with the Term. Do not impersonate any person or entity, misrepresent any affiliation with another person, entity, or association, use false IP addresses or headers, or otherwise conceal your identity from Norsonic AS. (3) Only upload Content for which you have the copyright or other specific permission to distribute. (4) Do not violate, plagiarize, or infringe on the rights of third parties including copyright, trademark, trade secret, privacy, publicity or proprietary rights. Norsonic AS shall not be liable in any way for any submitted Content.
To use NorCloud we will ask you to register as a NorCloud user. Each user must provide true, accurate, current and complete user information, maintain and promptly update the user information as necessary to keep it true, accurate, current and complete. A user will receive passwords and account designations upon completing the NorCloud registration processes and is wholly responsible for maintaining the confidentiality of such passwords or designations. If, Norsonic AS has reasonable grounds to suspect that any user information is untrue, inaccurate, not current or incomplete, Norsonic AS can terminate the use of NorCloud for that user.
Access to NorCloud is password controlled and is accessible to registered users only. You certify that all information provided in the registration process is accurate and correct. If you are registering or conducting other transactions on behalf of your company, you represent and certify that you are an authorized representative of your company with the right to bind your company to these Terms. You are solely responsible for maintaining the confidentiality of your account information, including, without limitation, your user name and password. You are solely responsible for any and all activities that occur under your user name and password. You agree to notify Norsonic immediately of any unauthorized use of your user name, password or account or any other breach of security. Norsonic will not be liable for any loss that you may incur as a result of someone else using your user name, password or account, either with or without your knowledge. However, you could be held liable for losses incurred by Norsonic as a result of the misuse of your user name, password or account.
Norsonic does not accept unsolicited ideas for new products, design, marketing, advertising, research, business operations and the like. Should you ignore this policy and submit an idea to Norsonic, you agree that the idea becomes and remains the sole and exclusive property of Norsonic without further liability or compensation to you. Norsonic will be free to use any ideas, concept, know-how or techniques contained in such information for any purpose whatsoever, including but not limited to developing, manufacturing and marketing products which incorporate or otherwise rely upon such information.
Norsonic may terminate your use of the NorCloud for: (1) breach of these Terms; (2) your abuse of NorCloud resources or attempt to gain unauthorized entry to NorCloud; (3) as required by law, regulation, court or governing agency order; or (4) breach of commercial contract between user and Norsonic AS. Norsonic AS's termination of any user's access to the NorCloud may be affected without notice and, on such termination, Norsonic AS may immediately prevent any further access to the NorCloud. Norsonic AS shall not be liable to any user or other third party for any termination of that user's access to NorCloud.
Each user's use of NorCloud is at its sole risk. NorCloud is provided on an 'as is' and 'as available' basis. Norsonic AS expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement. Norsonic AS shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages resulting from any user's use or inability to use NorCloud.
In no event will Norsonic AS, or its partners, be liable to you or any other person or entity for any direct, indirect, special, consequential or exemplary damages, even if we are expressly advised of the possibility of such damages, for any use of this site, or on any other hyperlinked web site, including, without limitation, any lost profits, lost revenue, business interruption, loss of programs or other data on your information handling system or otherwise.
Norsonic AS agrees to treat your private personally identifiable information in accordance with the terms of our current privacy policy, which is incorporated herein for all purposes, and which is available at https://web2.norsonic.com/privacy-policy/.
These Terms and Conditions constitute the entire agreement between each user and Norsonic AS and govern each user's use of NorCloud, superseding any prior agreements. The Terms and the relationship between each user and Norsonic AS shall be governed by the laws of Norway arbitrated by the court of Oslo. Those who choose to access NorCloud from other locations do so on their own initiative and are responsible for compliance with local laws.
Nothing herein shall be deemed to create an agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship of any kind between Norsonic AS and any user.
